We are Passpaw LLC, doing business as Passpaw ("Company," "we," "us," "our"), a limited liability company registered in California, United States, with its principal place of business at 8285 E Santa Ana Canyon Rd, Ste 110-135, Anaheim, CA 92808.
We operate the website https://passpaw.com (the "Site"), the Passpaw browser extension (the "Extension"), and any related software, tools, and services that refer or link to these legal terms (collectively, the "Services").

These Terms and Conditions ("Legal Terms") constitute a legally binding agreement between you—whether personally or on behalf of a veterinary practice, business, or other entity ("you" or "User")—and Passpaw LLC concerning your access to and use of the Services. By accessing or using the Services, you confirm that you have read, understood, and agreed to be bound by these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.
We will provide notice of any material changes to these Legal Terms by email to the address on file or by posting a notice on the Site. The modified Legal Terms become effective upon posting or as stated in the notice. Your continued use of the Services after the effective date constitutes acceptance of the modified terms.
The Services are intended for users who are at least 18 years old. Persons under 18 are not permitted to use or register for the Services.
We recommend that you print or save a copy of these Legal Terms for your records.

1. OUR SERVICES
Passpaw provides an administrative software platform and advisory service that assists veterinary practices ("Practices") and, in some cases, pet owners ("Clients") with navigating international pet travel requirements, preparing health certificate documentation, and coordinating endorsement of health certificates by the United States Department of Agriculture, Animal and Plant Health Inspection Service ("USDA APHIS" or "USDA").
Passpaw is not a veterinary practice, veterinarian, government agency, customs broker, freight forwarder, immigration consultant, travel agent, or law firm. Passpaw does not provide veterinary medical advice, legal advice, immigration advice, or travel-logistics services. Our role is administrative and informational only.
The information made available through the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Users who access the Services from outside the United States do so on their own initiative and are solely responsible for compliance with local laws.
The Services are not designed to comply with industry-specific regulations such as HIPAA, FISMA, or GLBA. If your interactions are subject to those laws, you may not use the Services.
2. NATURE AND SCOPE OF SERVICES; IMPORTANT DISCLAIMERS
By using the Services, you expressly understand, acknowledge, and agree to each of the following:
2.1 Advisory and Administrative Role
Passpaw acts solely as an administrative and informational assistant. Passpaw does not:
Sign, certify, or endorse health certificates or any veterinary documents;
Submit health certificates to USDA APHIS on behalf of any veterinarian (submissions occur through the Practice's own USDA Veterinary Export Health Certification System ("VEHCS") account or equivalent system);
Examine, diagnose, vaccinate, microchip, treat, or otherwise medically attend to any animal;
Guarantee compliance with veterinary professional standards (which remain the exclusive responsibility of the licensed veterinarian).
2.2 USDA Interaction
Passpaw maintains a USDA APHIS exporter account solely for purposes of communicating with USDA, asking questions, and requesting expedited review of certificates where appropriate. The veterinarian remains the submitter, signer, and party of record for all health certificates. The veterinarian's electronic signature is captured either through the Passpaw platform (by completing assigned tasks while logged in) or directly through VEHCS.
Passpaw cannot control, predict, or guarantee USDA processing times, decisions, working hours, system availability, or staffing levels. Delays, rejections, or revisions imposed by USDA are outside Passpaw's control, and Passpaw is not responsible for them.
2.3 Country Entry Requirements
Passpaw maintains a proprietary rules engine and monitors the USDA APHIS Pet Travel website and relevant foreign government sources on a regular basis. However:
Destination countries may change entry, health, documentation, quarantine, or import-permit requirements at any time, with or without notice, and such changes may not be immediately reflected in our Services;
For certain destinations (including those for which USDA APHIS does not publish requirements—such as, by way of example, Iran and Jordan), Passpaw aggregates the most commonly accepted requirements from publicly available sources, and these are not guaranteed to be accepted by the destination country;
The USDA's endorsement of a certificate is not a guarantee of entry into any destination;
Final entry decisions rest exclusively with the destination country's agricultural, customs, immigration, and public health authorities;
It remains the Practice's and Client's responsibility to confirm requirements with the destination country and any relevant airline, embassy, consulate, or import-permit authority.
2.4 Travel Logistics, Permits, and Airlines
Passpaw does not provide, arrange, or coordinate:
Travel logistics (airline bookings, ground transport, kennels, or pet relocation services);
Import permits, visas, or customs clearance;
Quarantine arrangements;
Airline-specific paperwork or compliance review.
You are solely responsible for booking travel, securing any required import permit, and confirming any additional airline or carrier requirements.
2.5 Shipping and FedEx Delivery
Where Passpaw facilitates the generation of shipping labels for the physical delivery of endorsed certificates from USDA to the Practice, Passpaw is not the carrier. FedEx (or any other carrier used) is an independent third party. Passpaw is not responsible for, and does not guarantee, on-time delivery, custody of packages in transit, lost or damaged shipments, or any consequence arising from a carrier's acts or omissions. Shipping labels are charged only when actually used (i.e., printed/applied to a shipment).
2.6 No Guarantee of Outcomes
Passpaw makes no representation, warranty, or guarantee that:
A health certificate will be endorsed by USDA on any particular timeline or at all;
A pet will be granted entry into any destination;
Travel will proceed without disruption;
A pet will be medically fit to travel at the time of departure (any contagious illness, parasitic condition, behavioral issue, or other health concern may prevent issuance of a certificate or entry);
Information made available through the Services is complete, accurate, current, or error-free at the time of use.
2.7 Information Accuracy
The Practice and Client are solely responsible for providing accurate, current, and complete pet, owner, and travel information, including but not limited to microchip numbers (and confirming the microchip is readable and ISO 11784/11785 compliant where required), vaccination records, parasite treatment records, owner contact details, flight information, and destination address. Passpaw takes all information as provided and does not independently verify it. Errors caused by inaccurate or incomplete information supplied by the Practice or Client are not Passpaw's responsibility.
3. CLIENT ACKNOWLEDGMENTS
In addition to the disclaimers in Section 2, every Practice and Client expressly acknowledges and agrees to the following acknowledgments, which are made part of these Legal Terms:
1. Dynamic Nature of Travel Requirements. Passpaw provides up-to-date information on travel and entry requirements for various countries. However, countries may change their requirements without notice, and updates may not be immediately reflected in our Services. We also recommend that you check with your airline for any additional requirements they may have.
2. Maintaining Flexible Travel Plans. Due to the possibility of sudden changes in entry or travel requirements, we strongly recommend maintaining flexible travel plans. Any contagious illness, even mild ones like an upper respiratory infection, can impact a pet's travel plans and may delay the issuance of the health certificate. For all the above reasons, we are not liable for any disruptions to your travel plans, and we recommend maintaining flexibility in your itinerary and travel bookings.
3. Your Responsibility. We will let you and your veterinarian's office know what information is required by the countries you intend to visit, but it is your responsibility to provide accurate and recent information and documentation. Failure to comply with a country's requirements may result in denied entry or other complications.
4. USDA Endorsement. The USDA must endorse your pet's travel certificate. Our service will provide you and your veterinarian's office with the details of when the certificate must be submitted to the USDA, but we cannot control or influence the USDA's processing times or guarantee that the USDA will meet your planned travel dates. Each country determines the timing for the pet examination, and the certificate cannot be submitted to the USDA before that time.
5. No Guarantee of Entry. Compliance with all entry requirements does not guarantee that your pet will be granted entry into any country. This decision rests ultimately and solely with the relevant agricultural, customs, immigration, and public health authorities at your destination.
6. Aggregated Requirements for Unlisted Destinations. Where the USDA does not publish requirements for a given destination, Passpaw aggregates the most commonly agreed-upon requirements from publicly available sources. Passpaw does not guarantee that such aggregated requirements will be accepted by the destination country.
7. Carrier and Shipping Disclaimers. Passpaw is not the shipping carrier and is not responsible for delays, losses, or damage caused by FedEx or any other carrier.
4. SERVICE TIERS
Passpaw offers multiple service tiers, including but not limited to:
Platform (Self-Service): The Practice and/or Client enters pet, owner, and travel information directly into the Passpaw platform, uploads supporting documents (such as rabies certificates), and the veterinarian completes and submits the health certificate to USDA through VEHCS using the Passpaw browser Extension.
Concierge: The Practice or Client sends documents and medical records to Passpaw, and Passpaw enters the data into the relevant forms on the Practice's behalf. The veterinarian still reviews, signs, and submits the certificate to USDA. Passpaw does not submit on the veterinarian's behalf.
Specific features, pricing, and limitations of each tier are described on the Site and may be updated from time to time.
5. USER ACCOUNTS AND ELIGIBILITY
To use the Services, the Practice must register for an account. Multiple staff members of the same Practice may use the account, each with their own individual login credentials. You agree to:
Provide true, accurate, current, and complete account and registration information;
Maintain and promptly update such information;
Keep your password confidential and not share login credentials with unauthorized persons;
Promptly notify Passpaw of any unauthorized use of, or security breach involving, your account;
Be solely responsible for all activity occurring under your account or any individual login credential associated with your account.
We reserve the right to suspend or terminate any account or login at our sole discretion, including (without limitation) for inaccurate information, non-payment, abuse, fraud, or violation of these Legal Terms.
6. USER REPRESENTATIONS AND RESPONSIBILITIES
By using the Services, you represent and warrant that:
All registration and account information you submit is true, accurate, current, and complete;
You will maintain the accuracy of such information and promptly update it as necessary;
You have the legal capacity to agree to these Legal Terms and to act on behalf of the entity you represent (if applicable);
You are not a minor in your jurisdiction of residence and are at least 18 years old;
You will not access the Services through automated or non-human means (bots, scripts, scrapers, etc.) except for our authorized Extension;
You will not use the Services for any illegal or unauthorized purpose;
Your use of the Services will not violate any applicable law or regulation;
If you are a veterinarian or are using the Services in connection with veterinary services, you are duly licensed, in good standing, USDA-accredited (where required), and authorized to issue and submit the health certificates you prepare using the Services;
You will independently verify all pet, owner, and travel information for accuracy before submission, including confirming microchip readability and identification details;
You will confirm destination country requirements directly with the destination country's authorities, the relevant airline, and (where applicable) any embassy or consulate.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse current or future use of the Services.
7. FEES, PAYMENT, AND BILLING
7.1 Pricing
Passpaw charges flat fees for its Services. Current pricing is available on the Site or otherwise communicated to you in writing. Fees may vary by destination, service tier, and feature, and may change from time to time. Shipping label fees are charged only when a label is actually used.
7.2 Billing of Practices
Unless otherwise agreed in writing, Practices are billed monthly in arrears based on the number of applications started during the prior billing period, measured by the Practice's completion of one or more tasks in the platform for that application. Passpaw will issue an invoice to the Practice's billing contact via email, and payment is due upon receipt unless otherwise stated.
7.3 Billing of Clients
Where a Client (rather than a Practice) is the paying party, payment is due upfront, before service is initiated. Passpaw is not obligated to begin work until payment has been received and cleared.
7.4 Accepted Payment Methods
We accept Visa, Mastercard, American Express, and ACH. We may add or remove payment methods at any time. All payments shall be in U.S. dollars.
7.5 Authorization to Charge
You agree to provide current, complete, and accurate billing and payment information, to promptly update such information, and to authorize Passpaw to charge your chosen payment method for all amounts owed. Sales tax will be added where required. Passpaw reserves the right to correct pricing errors at any time, even after payment.
7.6 Late Payment
Invoices unpaid more than 30 days after the invoice date are considered past due. Passpaw reserves the right to (a) suspend access to the Services, (b) charge interest at the lesser of 1.5% per month or the maximum rate permitted by law, (c) charge reasonable collection and attorneys' fees, and (d) terminate the account.
7.7 Disputes
You must notify Passpaw in writing of any billing dispute within 30 days of the invoice date. Amounts not disputed in writing within that period are deemed accepted.
8. REFUNDS
Refunds are offered on a case-by-case basis at Passpaw's sole discretion. Examples of circumstances where Passpaw may consider a refund include verified service failures attributable solely to Passpaw. Passpaw will not issue a refund for outcomes outside of its control, including but not limited to:
USDA delays, rejections, or processing times;
Carrier (FedEx or other) delays, losses, or damage;
Destination country denial of entry or change in requirements;
Pet illness, behavioral issues, or unfitness to travel;
Errors caused by inaccurate or incomplete information provided by the Practice or Client;
Changed travel plans or cancellations initiated by the Client.
If Passpaw terminates a Practice's account for non-payment, abuse, fraud, or breach, Passpaw may, at its discretion, waive charges for applications still in progress at the time of termination.

9. BROWSER EXTENSION
9.1 License
Subject to your compliance with these Legal Terms, Passpaw grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Passpaw browser Extension (the "Extension") on devices you own or control, solely for the purpose of using the Services in connection with your Practice's preparation and submission of health certificates. You may not reverse engineer, decompile, disassemble, modify, distribute, sell, sublicense, lease, rent, or transfer the Extension; remove proprietary notices; or use the Extension to circumvent any security or access controls.
9.2 Purpose and Operation
The Extension is a user-initiated tool designed to assist with the preparation and entry of information into third-party platforms. The Extension:
operates only when actively initiated by the user;
functions within the user's browser environment;
requires the user to be logged into any applicable third-party system using the user's own credentials;
does not independently submit, certify, or transmit information on behalf of the user.
You remain solely responsible for reviewing, verifying, and submitting all information.
9.3 Use with Third-Party Systems
The Extension may be used in connection with third-party platforms, including government-operated systems such as the USDA Veterinary Export Health Certification System (VEHCS) and Login.gov (collectively, "Third-Party Systems"). Passpaw does not control, operate, or endorse any Third-Party System. You acknowledge and agree that:
your use of any Third-Party System is subject solely to that system's applicable terms, conditions, and policies;
you are solely responsible for ensuring your use of the Extension in connection with any Third-Party System complies with all applicable laws, regulations, and third-party terms of use;
Passpaw is not responsible for any actions taken by Third-Party Systems, including suspension, restriction, or termination of access.
9.4 No Automation or Compliance Representation
The Extension is intended solely as a user-assistive tool. Passpaw makes no representation or warranty that:
use of the Extension complies with the terms of use of any Third-Party System; or
use of the Extension is permitted by any government authority or regulatory body.
You are solely responsible for determining whether your use of the Extension is permitted in your specific use case.
9.5 Assumption of Risk
You acknowledge that Third-Party Systems may impose restrictions on automated or assisted interactions. By using the Extension in connection with such systems, you assume all risks arising from that use, including:
account suspension or termination by a Third-Party System;
rejection of submissions;
regulatory or administrative consequences.
9.6 Indemnification (Extension-Specific)
In addition to the indemnification obligations in Section 20, you agree to indemnify and hold harmless Passpaw and its affiliates from any claims, damages, liabilities, or expenses arising out of or related to:
your use of the Extension in violation of any third-party terms, including those of any Third-Party System;
your use of the Extension in connection with regulated or government systems;
any data submitted, transmitted, or processed using the Extension.
9.7 Modification and Suspension
Passpaw reserves the right, at any time and in its sole discretion, to modify, limit, or discontinue the Extension or any of its features; suspend or terminate access to the Extension; and implement changes necessary to address legal, regulatory, or compliance concerns. You agree to install updates as we release them.
10. INTELLECTUAL PROPERTY RIGHTS
10.1 Our Property
We own or license all intellectual property rights in the Services, including all source code, databases, functionality, software, design, the Passpaw rules engine, country-specific guidance, audio, video, text, photographs, graphics, and all trademarks, service marks, logos, and trade dress (collectively, "Content and Marks"). Our Content and Marks are protected by U.S. and international intellectual property laws.
10.2 Limited License to You
Subject to compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and to download or print Content to which you have properly gained access, solely for your internal business purposes (Practices) or personal, non-commercial use (Clients). No other use is permitted without our prior written consent.
Any breach of these intellectual property rights is a material breach and immediately terminates your right to use the Services.
10.3 Feedback
If you submit any question, comment, suggestion, idea, feedback, or other information ("Feedback"), you assign to us all intellectual property rights in such Feedback. We may use Feedback for any lawful purpose without compensation or attribution to you.
11. USER CONTRIBUTIONS AND SUBMISSIONS
To the extent the Services permit you to post, upload, or transmit content ("Contributions"), you represent and warrant that:
You own or have all necessary rights, licenses, and permissions to your Contributions;
Your Contributions do not infringe any third party's rights;
Your Contributions are not false, misleading, defamatory, obscene, harassing, unlawful, or otherwise objectionable;
You have obtained any required consents from any individuals identifiable in your Contributions.
You grant Passpaw a non-exclusive, royalty-free, worldwide license to use, host, store, reproduce, modify (e.g., for formatting), and display your Contributions solely as necessary to operate and provide the Services. We do not claim ownership of your Contributions.
We may, but are not obligated to, monitor, edit, or remove Contributions in our sole discretion.
12. PROHIBITED ACTIVITIES
You agree not to:
Use the Services for any purpose other than that for which we make them available;
Use the Services in any way that violates any applicable law or regulation, including USDA APHIS rules or the import laws of any destination country;
Falsify or misrepresent veterinary, pet, ownership, or travel information;
Use the Services to assist any person in evading lawful import or export requirements;
Impersonate any person or entity, including a veterinarian, veterinary technician, USDA employee, or government official;
Use anyone else's account or login credentials without authorization;
Systematically retrieve, scrape, or compile data or content from the Services;
Reverse engineer, decompile, disassemble, or attempt to derive source code from any part of the Services (except where such restriction is prohibited by applicable law);
Upload viruses, malware, or other malicious code;
Interfere with, disrupt, or impose an undue burden on the Services;
Use bots, scripts, or other automated means to access the Services (except for the authorized Extension);
Harass, threaten, or harm Passpaw employees, contractors, or other users;
Use the Services to compete with Passpaw or to develop a competing product or service;
Bypass any security or access controls in the Services.
13. THIRD PARTIES (USDA, FEDEX, AIRLINES, FOREIGN AUTHORITIES)
The Services involve interactions with third parties over whom Passpaw has no control, including (without limitation) USDA APHIS, VEHCS, FedEx and other carriers, airlines, foreign governments, embassies, consulates, customs authorities, and laboratories. Passpaw is not responsible for any acts, omissions, errors, delays, decisions, fees, or charges of any such third party. Your interactions with third parties are at your own risk, and you agree that Passpaw has no liability arising out of or in any way related to any such third party's conduct.
The Services may contain links to third-party websites or third-party content. Such links are provided as a convenience only. Passpaw does not endorse, monitor, or assume responsibility for any third-party site or content, and your access to and use of any third-party site or content is at your own risk and subject to the third party's terms.
14. PRIVACY POLICY
We care about data privacy and security. Your use of the Services is also governed by our Privacy Policy, which is available at https://passpaw.com/privacy and is incorporated by reference into these Legal Terms. By using the Services, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.
The Services are hosted in the United States. If you access the Services from outside the United States, you consent to the transfer of your data to, and processing of your data in, the United States.
15. SERVICES MANAGEMENT
We reserve the right (but have no obligation) to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who violates the law or these Legal Terms; (3) refuse, restrict access to, or disable any User Contribution; (4) remove any content that is excessive in size or burdens our systems; and (5) otherwise manage the Services to protect our rights and property and to facilitate the proper functioning of the Services.
16. TERM AND TERMINATION
16.1 Term
These Legal Terms remain in effect while you use the Services.
16.2 Termination by You
You may stop using the Services at any time. Because billing is per-application, no formal cancellation is required, but you may close your account by contacting info@passpaw.com. Termination does not relieve you of obligation to pay for applications already started or services already rendered, except as expressly provided.
16.3 Termination by Us
We may suspend or terminate your access to the Services at any time, with or without notice, including (without limitation) for:
Non-payment;
Abuse of the Services, our staff, or other users;
Fraud, falsification, or misrepresentation;
Violation of these Legal Terms or applicable law;
Any other reason in our sole discretion.
If we terminate your account for non-payment, abuse, fraud, or breach, we may, at our sole discretion, waive charges for applications still in progress at the time of termination.
16.4 Effect of Termination
Upon termination, your license to access and use the Services ends immediately. Sections that by their nature should survive termination (including, without limitation, intellectual property, disclaimers, limitation of liability, indemnification, payment of accrued fees, governing law and venue, and dispute resolution) will survive.
If we terminate or suspend your account, you may not register for a new account under your name, a fake or borrowed name, or any third party's name.
17. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or remove content, features, or functionality of the Services at any time, for any reason, in our sole discretion, without notice. We have no obligation to update any information in the Services.
We cannot guarantee the Services will be available at all times. The Services may experience interruptions, delays, or errors due to hardware, software, network, USDA system availability, or maintenance. We are not liable for any loss, damage, or inconvenience caused by inability to access or use the Services during any downtime or discontinuance.
18. DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, PASSPAW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
PASSPAW MAKES NO WARRANTY OR REPRESENTATION THAT:
THE SERVICES WILL MEET YOUR REQUIREMENTS;
THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
INFORMATION PROVIDED THROUGH THE SERVICES IS ACCURATE, CURRENT, OR COMPLETE;
USDA WILL ENDORSE ANY HEALTH CERTIFICATE WITHIN ANY PARTICULAR TIMEFRAME OR AT ALL;
ANY PET WILL BE GRANTED ENTRY INTO ANY DESTINATION;
DESTINATION COUNTRY REQUIREMENTS WILL NOT CHANGE BETWEEN PREPARATION AND TRAVEL;

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE SERVICES IS ACCESSED AT YOUR OWN DISCRETION AND RISK.
19. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PASSPAW, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, LOSS OF DATA, LOSS OF USE, COST OF SUBSTITUTE SERVICES, NON-REFUNDABLE TRAVEL EXPENSES, QUARANTINE FEES, BOARDING COSTS, RE-FLIGHT COSTS, VETERINARY COSTS, OR ANY DAMAGES ARISING FROM PET INJURY, ILLNESS, OR DENIAL OF ENTRY, EVEN IF PASSPAW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).
NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE LEGAL TERMS, PASSPAW'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO A SPECIFIC HEALTH CERTIFICATE APPLICATION OR USE OF THE SERVICES IN CONNECTION WITH THAT APPLICATION, REGARDLESS OF THE FORM OF ACTION, WILL NOT EXCEED THE FEES ACTUALLY PAID BY YOU TO PASSPAW FOR THAT SPECIFIC APPLICATION.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
20. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Passpaw, its subsidiaries, affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
Your use or misuse of the Services;
Your breach of these Legal Terms or any representation or warranty herein;
Your violation of any law, regulation, or third-party right (including without limitation any veterinary licensing, USDA, or destination country requirement);
Any inaccurate, incomplete, or false information you provide;
Any veterinary act, omission, diagnosis, certification, or signature by you or any person at your Practice;
Any pet illness, injury, death, denial of entry, quarantine, or related harm;
Any claim brought by a Client, pet owner, or other third party arising from your services or use of the Services;
Any infringement by you of any third party's intellectual property, privacy, or other rights.
Passpaw reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defense. You may not settle any such claim without our prior written consent.
21. INSURANCE
Passpaw maintains errors and omissions ("E&O") insurance appropriate to its business. Practices acknowledge that Passpaw's insurance does not cover the Practice's own veterinary, professional, or business activities. Each Practice is responsible for maintaining its own professional liability and business insurance.
22. USER DATA
We will maintain certain data that you transmit to the Services for purposes of providing the Services and managing your account. While we perform routine backups, you are solely responsible for retaining your own copies of any data you transmit to or generate through the Services. You agree that Passpaw has no liability to you for any loss or corruption of such data, and you waive any right of action against Passpaw arising from any such loss or corruption.
23. GOVERNING LAW AND VENUE
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act (UCITA) are excluded.
Any dispute, claim, or controversy arising out of or relating to these Legal Terms or the Services shall be brought exclusively in the state or federal courts located in Orange County, California, and the parties consent to the personal jurisdiction of, and venue in, such courts and waive any defense of inconvenient forum.
24. DISPUTE RESOLUTION
24.1 Informal Negotiations
Before filing any lawsuit, the parties agree to first attempt to negotiate the dispute informally for at least 30 days. Informal negotiations begin upon written notice from one party to the other describing the dispute.
24.2 Court Jurisdiction
If informal negotiations do not resolve the dispute, the parties may bring suit in the courts specified in Section 23.
24.3 Time Limit
Except where prohibited by applicable law, any claim arising out of or relating to these Legal Terms or the Services must be filed within one (1) year after the claim arose; otherwise, the claim is permanently barred.
24.4 Equitable Relief
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality, or similar matters.
25. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide electronically (including by email to the address you provided) satisfy any legal requirement that such communications be in writing. YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES.
You acknowledge and agree that veterinarian electronic signatures captured by the Passpaw platform (when a veterinarian logs in and completes assigned tasks) or by USDA's VEHCS system constitute legally valid electronic signatures.
26. SMS TEXT MESSAGING
26.1 Opting Out
To stop receiving SMS messages from Passpaw, reply "STOP" to any message. You may receive a confirmation SMS.
26.2 Message and Data Rates
Standard message and data rates may apply, as determined by your carrier and mobile plan.

27. CALIFORNIA USERS AND RESIDENTS
If any complaint with us is not satisfactorily resolved, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210 or (916) 445-1254.

28. MARKETING AND PUBLICITY
Passpaw will not use a Practice's name, logo, or other identifying information in marketing materials, case studies, or testimonials without that Practice's prior consent. Practices and Clients are permitted to reference their use of Passpaw publicly (e.g., on their own website or to their clients), provided such references are truthful and not misleading.
29. MISCELLANEOUS
These Legal Terms and any policies or operating rules we post (including the Privacy Policy) constitute the entire agreement between you and Passpaw regarding the Services. Our failure to exercise or enforce any right or provision is not a waiver. If any provision is found unlawful, void, or unenforceable, that provision is severable and does not affect the remaining provisions. We may assign any or all of our rights and obligations to others at any time; you may not assign these Legal Terms without our prior written consent.
We are not responsible for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control, including USDA actions, government action, carrier delays, internet outages, acts of God, pandemics, labor disputes, or other force majeure events.
No joint venture, partnership, employment, or agency relationship is created by these Legal Terms. These Legal Terms will not be construed against Passpaw by virtue of having drafted them. You waive any defenses based on the electronic form of these Legal Terms or the lack of a handwritten signature.
